Terms & Conditions of Service

This Website Design Agreement (“Agreement”) is made between you (The “Client”) and WildHeart Web Design (“Web Designer”).

 

SERVICES

The Web Designer will provide the services laid out within the Website Proposal document sent to you and dated prior to commencement of work.

 

STATEMENT OF WORK

The extent of work to be performed and the deliverables by WildHeart Web Design is clearly outlined within the website proposal document sent to you prior to commencement of work. 

Should any additional work be requested, this will be quoted for separately and offered to you for agreement or otherwise.

 

ACCEPTANCE PERIOD

Once I have provided and you have received the Website Proposal document and invoice, the quotation will be held open for 30 days from the date stated upon the website proposal document. Thereafter, a new quote will need to be requested.

 

REVISIONS

Once the Home page design has been agreed between the Client & Web Designer, the rest of the website pages will follow this design format. I am happy to show you the work as I complete pages and action any reasonable design change requests which do not involve a complete change in the overall design.

Upon submission of the ‘completed’ website to you, I am happy to make further reasonable revisions, however, this is limited to 3 rounds of revisions. To be clear, I would therefore ask that you consider all changes you would like and place them together in one email, and this will be counted as 1 round of revisions. The same will apply for the 2nd and 3rd rounds, if necessary.

 

SCOPE EXTENSIONS

In the event you decide mid-way during the website design and build contract, that you would like additional features added to the website, or a complete change in the design AFTER approval to proceed on the basis of any previous Home Page design provided, I will provide a quote to implement these additional features, or change the design, giving you the opportunity to either accept or decline the offer.

 

OUT OF SCOPE WORK

Unless stated otherwise in the written website proposal sent to you, the following is not included within the price quoted for work:

Website Hosting Costs, including SSL Certificate, website backups and professional email
Keyword research
Proof reading of copy you supply, unless agreed otherwise. 
Major design changes once we have agreed, and you are happy with a design direction shown on the home page layout.
Writing and set up of automated emails, although I will connect your email autoresponder to the website via API.
Design and creation of any Lead Magnet to be used on the website.
Any further updates or amendments to the website after the contract has been completed.
Ongoing management of the website once the contract is complete.

 

PAYMENT TERMS

Payments should be made promptly and by the due date specified upon the invoice sent to you, and paid into the bank account specified upon the invoice.

 

DELAYS

Whilst I appreciate you are busy, in order to maintain my own business in an orderly state, I will ask that you please respond to my questions relating to the website design and build promptly. This includes consideration of any designs offered, and requests for content for use on the website. In the event that you do not respond or provide the required content within 14 days to my messages, I will put your project on hold and open the slot to a new project. We will then need to discuss a re-start date of your project at my convenience as well as yours.

 

TERMINATION OF CONTRACT

In the event that you would like to terminate our agreement before completion of the contract, please contact me to discuss your concerns, as I would like to ensure I have done everything I can to fulfil my contract with you, as your satisfaction is very important to me. 

If either party accuses the other of being in breach of this contract, the accused party will be given 30 days to address the breach. 

If the reasons for termination are not due to the negligence or fault of the Web Designer, the Client agrees to notify the Web Designer 7 days in advance of termination and to pay/compensate the Web Designer for services already completed and for hours already worked up to the date of said termination.

 

LIMITATION OF LIABILITY

Neither party will be liable for breach of contract damages that are remote or speculative, or that the breaching party could not have reasonably foreseen on entry into this agreement.

 

INTELLECTUAL PROPERTY

The Client will own the website and any visuals provided by the Web Designer.

The Client guarantees that they have legal rights to all elements of text, photographs, and anything else that they provide to the Web Designer.

In the event that the Client provides images or copy for use on the website that infringes any intellectual property, such as copyrights, the Client agrees to take full responsibility and indemnify the Web Designer for any actions brought against the Web Designer in this respect.

The Web Designer will guarantee that they have legal rights to all design elements related to the services provided and will not hold the client responsible for any third party claims in this respect.

 

EARNINGS DISCLAIMER

Please note that the Web Designer will not be held responsible for income results achieved by the Client as a result of using the website designed in this contract. It is the responsibility of the Client to ensure they have informed themselves as to online marketing best strategies. The Client will not hold the Web Designer responsible for the level of earnings acquired (or not acquired), or the success of the Client’s venture from their use of the website. The success of the Client’s business or venture depends upon their own determination, hard work and ability. The Client agrees they understand this and will take full responsibility for their own business success.

 

APPLICABLE LAW

This contract agreement will be governed by and construed in accordance with the laws of the United Kingdom.
